Company Incorporation FAQs​

Company incorporation in the Philippines is primarily governed by the Revised Corporation Code (R.A. 11232), which modernized and updated the almost 39-year-old previous law.

The Securities and Exchange Commission (SEC), headquartered at 7907 Makati Avenue, Bel-Air, Makati City, serves as the official registrar and regulator of the Philippine corporate sector. 

Unlike in other countries, there is no legal concept of a limited liability company (LLC) in the Philippines, but its closest equivalent is a domestic corporation.

Before incorporation, a distinct company name must be verified, reserved, and registered first with the SEC to ensure uniqueness and compliance with naming rules.

Under the RCC, ordinary stock corporations (OSCs) must have at least two but not more than 15 directors, providing flexibility in corporate governance.

Yes, it is possible. The RCC also introduced the One Person Corporation (OPC), which allows a single stockholder to form a corporation and act as the same incorporator, director, and president.

Foreign investors can fully incorporate and operate companies in the Philippines, with up to 100% foreign ownership allowed in sectors not restricted by the Foreign Investment Negative List (FINL).

Corporations are generally subject to a corporate income tax rate of 25%, but other industries and companies operating in special economic zones may qualify for special tax incentives.

Corporations may now exist in perpetuity, unless otherwise stated in their Articles of Incorporation (AOI).

Capital requirements vary. Most companies can be incorporated with as little as PHP 5,000 capital, while others with foreign ownership may need to meet a minimum of US$ 200,000, depending on the sector.

Incorporated companies must further secure the necessary business licenses and permits from various government agencies and units to ensure full regulatory compliance before commencing operations.

Once incorporated and registered, corporations must ensure compliance with reportorial requirements, such as the Annual Income Tax Returns (ITR), Audited Financial Statements (AFS), General Information Sheet (GIS), business permit renewal, and others.
